1. Acceptance of These Terms
These Terms of Use (“Terms”) govern your access to and use of the public Synesis Networks website (the “Website”).
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
“Synesis,” “we,” “us,” and “our” refer to Synesis Networks, LLC.
These Terms apply only to the public Website. Product purchases, pilots, services, warranties, deployment, support, and other commercial relationships are governed by separate written agreements and not by these Terms.
2. Website Purpose
The Website provides general information about Synesis and products or product concepts, including SecurAlert.
Website content is provided for informational and business-development purposes only. It is not:
- an offer to sell;
- a binding product specification;
- a guarantee of availability, performance, compatibility, timing, or results;
- professional engineering, safety, security, legal, financial, or other professional advice;
- a substitute for appropriate inspections, safeguards, monitoring, maintenance, emergency procedures, or professional judgment.
Product purchases, pilots, services, warranties, availability, features, specifications, pricing, deployment requirements, and support obligations are established only in separate written agreements signed or otherwise accepted by authorized parties. These Terms do not govern those matters.
3. Product Information and Developmental Content
Product information may change without notice.
Some products, features, workflows, illustrations, or descriptions may be identified as planned, in development, expected, conceptual, or Coming Soon. Such content describes current direction and does not create a commitment to release any product or feature on a particular date—or at all.
Nothing on the Website guarantees that SecurAlert or any other product will prevent theft, tampering, damage, failure, loss, interruption, or other events.
4. No Emergency or Safety-Critical Use of the Website
The Website is not an emergency communication or monitoring service.
Do not use the Website or its published email address to report an emergency, request immediate monitoring assistance, or seek urgent safety, security, medical, or law-enforcement response. Contact the appropriate emergency service or responsible authority.
5. Permitted Use
You may use the Website for lawful informational and business purposes.
You may not:
- use the Website in violation of law or another person’s rights;
- interfere with, disrupt, damage, or attempt to gain unauthorized access to the Website or related systems;
- introduce malware, malicious code, automated attacks, or harmful material;
- use bots, scrapers, or automated means in a manner that imposes an unreasonable burden or circumvents access controls;
- misrepresent your identity or affiliation;
- use Website content to imply an endorsement, partnership, certification, or commercial relationship that does not exist;
- copy, modify, distribute, sell, license, or exploit Website content except as permitted by law or with our written permission;
- use Synesis names, logos, product names, or marks in a misleading manner.
6. Intellectual Property
The Website and its content—including text, graphics, diagrams, visual treatments, product names, logos, trademarks, page design, and software—are owned by or licensed to Synesis and are protected by intellectual-property laws.
Subject to these Terms, Synesis grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for lawful informational and business purposes.
No other right or license is granted by implication, estoppel, or otherwise.
7. Feedback
If you voluntarily provide suggestions, ideas, or feedback about the Website or Synesis products, you grant Synesis a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.
Do not submit confidential information as feedback unless a separate confidentiality agreement applies.
8. Third-Party Links and Services
The Website may link to third-party websites or services for convenience.
Synesis does not control, endorse, or assume responsibility for third-party content, privacy, security, availability, products, or services. Your use of third-party services is governed by their terms and policies.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SYNESIS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
SYNESIS DOES NOT WARRANT THAT:
- THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- WEBSITE CONTENT WILL BE COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR PURPOSE;
- ANY PRODUCT, FEATURE, OR SERVICE DESCRIBED WILL BE AVAILABLE;
- USE OF THE WEBSITE WILL PRODUCE ANY PARTICULAR RESULT.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNESIS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SYNESIS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the legal theory and even if a party was advised of the possibility of damages. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
This Section 10 applies only to claims arising from or related to the public Website or these Terms. It does not establish or limit liability relating to any product purchase, pilot, service, warranty, deployment, support, or other commercial relationship. Any liability relating to those matters is governed by the applicable separate written agreement.
11. Privacy
Your use of the Website is also subject to the Synesis Networks Privacy Policy.
12. Suspension and Termination
We may restrict or terminate access to the Website if we reasonably believe a user has violated these Terms, created risk, interfered with the Website, or engaged in unlawful conduct.
Sections that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, and governing-law provisions.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any state-court action or proceeding arising from or relating to the Website or these Terms will be brought exclusively in the courts located in Jackson County, Florida. Any federal-court action or proceeding arising from or relating to the Website or these Terms will be brought exclusively in the United States District Court for the Northern District of Florida. Each party consents to the personal jurisdiction of and venue in those courts.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
Changes apply prospectively from the effective date stated in the updated Terms.
15. Severability and Waiver
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.
A failure to enforce a provision is not a waiver of the right to enforce it later.
16. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Synesis concerning use of the public Website only.
They do not govern, replace, or modify a separate written agreement concerning a product purchase, pilot, service, warranty, deployment, support, confidentiality obligation, or other commercial relationship.
